Affiliate/branch opening in Estonia

A foreign company can open a branch office/affiliate in Estonia which is different from a daughter company. An affiliate will not be a separate legal person and the foreign company will still be legally liable for the branch.

The branch office can be opened in the e-registry of the business portal using a power of attorney (notarized and apostilled) which has been translated by a sworn translator in Estonia. The POA/decision has to have the decision to open a branch and also the decision to name the manager of the branch. Also the registry card of the company opening the branch has to be added (also notarized, apostilled, translated).

The state fee is 200 euros.

The branch would still have accounting obligations and can also employ people. If the field of activity requires a license then a license must be obtained.
